Terms & Conditions (eComables)

These Terms & Conditions (“Terms”) govern your use of the eComables website and any purchase or use of services provided by eComables (“we”, “us”, “our”). By accessing our website, requesting services, or making a payment, you agree to these Terms.
If you do not agree, do not use our website or services.
1) About eComables
eComables provides digital and eCommerce services including (but not limited to) web development, app development, SEO, web maintenance, Shopify support, marketplace support (Amazon/eBay), payment gateway troubleshooting, and business/admin support services.

2) Definitions
- Client / You: the person or business purchasing or using our services.
- Services: any work provided by eComables, including support tasks, development, consultancy, and deliverables.
- Task: a specific piece of work requested by the Client.
- Contract: the signed agreement, proposal, statement of work, email confirmation, or documented scope that defines the specific Task, timeline, deliverables, pricing, and responsibilities for that Task.
- Deliverables: the output of the Services (e.g., designs, code, documents, fixes, configurations).
3) Services, scope & priority
- All Services are provided as per the signed Contract for the specific Task.
- Any scope, timeline, deliverables, revisions, and acceptance criteria will be governed by the Contract.
- Requests outside the agreed scope are treated as change requests and may require additional fees and revised timelines.
- If you purchase “daily” or “sprint” services, each purchase covers one day / one block of work as described on the relevant service page, subject to the Contract and fair usage.
4) Client responsibilities
To avoid delays or issues, you agree to:
- Provide accurate information, timely approvals, and required access (logins, permissions, assets).
- Ensure you have legal rights to any materials you provide (logos, images, text, product data).
- Maintain backups of your website/store where possible.
- Review deliverables promptly and provide feedback within agreed timeframes.
We are not responsible for delays caused by missing access, incomplete information, or late approvals.
5) Payments & invoices (Bank transfer)
- Payments are made by bank transfer unless otherwise agreed in writing.
- You must include the payment reference provided (invoice/ticket/task reference) so we can match payments correctly.
- Work may not begin until payment is received (unless the Contract states otherwise).
- Prices are stated in GBP unless specified.
6) Refund policy (IMPORTANT)
- No refund after work has been initiated: Once eComables has started work on the agreed Task (including discovery, setup, investigation, planning, design, development, or implementation), payments are non-refundable.
- If you request cancellation before work on the Task has started, a refund may be considered at our discretion, minus any administrative costs or non-recoverable fees (if applicable).
- For milestone-based projects, once a milestone has begun or any work has been delivered for that milestone, that portion is non-refundable.
- Refund decisions, if any, are based on the Contract and documented work progress.
7) Revisions, changes & approvals
- Revisions (if included) are limited to what is specified in the Contract.
- New features, new pages, extra fixes, additional integrations, or expanded requirements are treated as out-of-scope unless included in the Contract.
- Client approvals (including approvals by email/WhatsApp/message) may be treated as acceptance of deliverables if the Contract allows.
8) Delivery times & service windows
- Any timeframes (same-day, 24 hours, daily, sprint) are targets and may depend on:
- receiving access and assets,
- platform availability (Shopify/Amazon/eBay/hosting),
- third-party approvals,
- complexity discovered during investigation.
- We will communicate delays as soon as reasonably possible.
9) Third-party platforms & dependencies
Many Services involve third-party platforms (e.g., Shopify, Amazon, eBay, hosting companies, payment gateways such as PayPal/Stripe). You acknowledge:
- We do not control third-party systems, outages, policy changes, or account actions taken by those providers.
- Outcomes may be affected by third-party restrictions, compliance requirements, or platform bugs.
- You remain responsible for compliance with platform terms and policies.
10) Compliance & legal/tax support disclaimer
- We may provide business/admin support such as guidance on tax compliance or filing processes.
- We are not a law firm or regulated tax advisory firm unless explicitly stated in the Contract.
- Any compliance or filing support is provided as general assistance and administrative support. You remain responsible for verifying accuracy and meeting legal obligations, or for engaging qualified professionals where required.
11) Intellectual property
- Unless otherwise stated in the Contract, once full payment is received, you receive a licence to use the Deliverables created specifically for you.
- We retain ownership of:
- pre-existing tools, templates, frameworks, code libraries, know-how,
- non-client-specific methodologies.
- Third-party assets (themes, plugins, fonts, stock media) remain subject to their respective licences. You may be responsible for purchasing licences where required.
12) Confidentiality
We will treat your confidential project information as confidential and use it only to deliver Services. We may disclose information if required by law or to enforce our Terms/Contract.
13) Limitation of liability
- To the fullest extent permitted by law, eComables is not liable for:
- lost profits, lost revenue, business interruption, loss of data, or indirect/consequential damages.
- Our total liability for any claim relating to Services is limited to the amount you paid for the specific Task giving rise to the claim (unless the Contract states otherwise).
- Nothing limits liability for death/personal injury caused by negligence or any liability that cannot be excluded by law.
14) Termination
- Either party may terminate as permitted by the Contract.
- On termination, all fees for work already initiated or completed remain payable, and refunds are not available once work has started (as stated above).
- We may suspend work if payments are overdue or if required access is not provided.
15) Disputes
If a dispute arises, both parties agree to attempt to resolve it informally first by contacting info@ecomables.com. If not resolved, the dispute will be handled according to the governing law clause below.
16) Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction, unless the Contract states otherwise.
17) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will be revised. Continued use of the website or Services means you accept the updated Terms.
